Terms of Service

The terms governing use of the SPEDScribe platform.

1. Acceptance of Terms

By accessing or using SPEDScribe (“the Platform”), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, do not use the Platform. Use of the Platform by a school district is governed by a separate Master Service Agreement and Data Processing Agreement between SPEDScribe and the contracting district.

2. Description of Service

SPEDScribe is an AI-powered documentation platform for special education providers. The Platform generates draft clinical documentation — including IEP sections, progress notes, evaluation summaries, and parent reports — from session recordings and provider input.

Important: All AI-generated content is a draft tool requiring professional review and approval before use. SPEDScribe does not generate final clinical documentation. Licensed providers must review, edit, and approve all AI-generated drafts before filing.

3. Account Registration and Security

  • One account per authorized user — credential sharing is prohibited
  • Users must provide accurate, complete registration information
  • Users are responsible for maintaining the security of their login credentials
  • Users must notify SPEDScribe immediately of any unauthorized access to their account
  • SPEDScribe is not liable for losses arising from credential compromise caused by user negligence

4. Acceptable Use

You may use SPEDScribe only for authorized special education documentation purposes within your contracting district. The following uses are prohibited:

  • Circumventing or disabling PII redaction or security controls
  • Reverse engineering, decompiling, or disassembling any part of the Platform
  • Using the Platform for non-educational profiling or commercial purposes unrelated to authorized school services
  • Sharing login credentials or allowing unauthorized individuals to access the Platform
  • Uploading content that violates applicable law, third-party rights, or these Terms
  • Using automated tools to scrape or extract content from the Platform
  • Attempting to gain unauthorized access to other user accounts or systems

5. Professional Responsibility Disclaimer

AI-generated documentation produced by SPEDScribe is a draft tool and does not constitute professional clinical judgment. The Platform is designed to assist — not replace — licensed education professionals.

Licensed providers must review, edit, and approve all AI-generated documentation before filing. SPEDScribe does not provide medical, therapeutic, legal, or educational advice. The provider who reviews and approves a document bears full professional responsibility for its accuracy, clinical appropriateness, and compliance with applicable law and professional standards.

Districts are responsible for ensuring that providers using SPEDScribe understand and fulfill their professional review obligations.

6. Intellectual Property

The SPEDScribe platform — including its Clinical Intelligence Engine, assessment ontology, user interface, and all associated software — is owned by Crowned Legacy Enterprises and protected by applicable intellectual property laws.

Per California Education Code Section 49073.1 (AB 1584), AI-generated documentation produced by the Platform is owned by the contracting school district. SPEDScribe does not claim ownership of district-generated documentation.

Assessment tool names, scoring instruments, and normative frameworks referenced in the Platform are trademarks of their respective publishers. SPEDScribe is not affiliated with, endorsed by, or in partnership with any assessment publisher.

7. Subscription and Payment Terms

SPEDScribe is offered on a per-provider monthly subscription basis, billed in advance at the beginning of each subscription period.

Auto-Renewal Disclosure (California Business and Professions Code §§ 17600–17606): Subscriptions renew automatically at the end of each billing period at the then-current rate unless you provide written cancellation notice at least 30 days before the renewal date. You may cancel auto-renewal at any time by contacting us in writing at legal@spedscribe.ai. We will send annual reminders of renewal terms via email to the district’s designated billing contact.

Only licensed providers who generate documentation count as billable seats. Directors, reviewers, and administrators accessing the platform for oversight purposes are not billed as seats.

8. Price Changes

Existing subscribers will receive a minimum of 90 days written notice before any price increases take effect. Price changes apply at the next renewal period and never mid-contract. Customers may cancel with 30 days notice if they do not agree to the new pricing.

9. Refund Policy

No refunds are provided for partial months of service. For annual prepayments, pro-rated refunds are available upon early termination with 30 days written notice, calculated from the date of confirmed account closure.

10. Data Handling

Data handling, retention, and deletion are governed by our Privacy Policy. Student data handling is governed by the Data Processing Agreement executed between SPEDScribe and the contracting district, which takes precedence over these Terms for all student data matters.

11. Service Availability

SPEDScribe targets 99.5% platform availability during standard business hours (7:00 AM – 6:00 PM Pacific Time, Monday through Friday, excluding federal holidays). Scheduled maintenance will be communicated at least 48 hours in advance via email and in-app notification.

12. Limitation of Liability

SPEDScribe’s total liability to any customer is capped at the total amount paid by that customer in the 12 months preceding the claim.

SPEDScribe is not liable for:

  • Clinical decisions made based on AI-generated draft documentation
  • Provider errors in reviewing, editing, or approving documentation
  • Data loss or breach resulting from district-side security failures or user negligence
  • Service interruptions caused by force majeure events including natural disasters, government actions, or third-party infrastructure failures
  • Indirect, consequential, or punitive damages of any kind

13. Indemnification

SPEDScribe will indemnify customers against third-party claims of intellectual property infringement arising from use of the Platform as intended.

Customers will indemnify SPEDScribe against claims arising from: misuse of the Platform in violation of these Terms, failure to review AI-generated content before filing, or violation of applicable professional standards.

14. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination, district data is handled in accordance with AB 1584 requirements: all student data is exported and delivered to the district in portable format, and permanently deleted from SPEDScribe systems within 90 days. Platform access terminates at the end of the current billing period.

15. Dispute Resolution

These Terms are governed by the laws of the State of California without regard to conflict of law provisions. Any disputes shall be resolved in Sacramento County, California. Prior to initiating formal proceedings, both parties agree to a 30-day good-faith negotiation period.

16. General Provisions

Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

Entire Agreement: These Terms, together with the executed Master Service Agreement and Data Processing Agreement, constitute the entire agreement between SPEDScribe and the contracting district. They supersede all prior negotiations, representations, and agreements.

Waiver: Failure by SPEDScribe to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.
